4. Quotes, Fees, and Payment
Pricing for our services is provided in a proposal or on our pricing page and may include a setup fee and a recurring monthly fee. Unless stated otherwise:
- Setup fees are due before work begins.
- Recurring fees are billed in advance for each period.
- Fees are stated in US dollars and do not include taxes that may apply.
Late or missed payments may result in paused work until the account is brought current.
5. Your Responsibilities
To deliver great results, we rely on your cooperation. You agree to:
- Provide accurate information and timely access to the accounts and tools needed for the work.
- Review and approve deliverables within a reasonable time.
- Make sure you have the rights to any content, logos, or data you give us to use.
6. Intellectual Property
The content on our website, including text, design, graphics, and the Assistly name and brand, belongs to us and is protected by law. For client work, ownership of final deliverables transfers to you once the related fees are paid in full, except for any third-party tools, libraries, or platforms that keep their own licenses. We may keep the right to display completed work in our portfolio unless we agree otherwise in writing.
7. Third-Party Tools and Platforms
Our services often connect to third-party platforms such as messaging tools, customer management systems, and payment providers. Those platforms have their own terms and pricing, and we are not responsible for their availability, changes, or performance.
8. Confidentiality
Both sides agree to keep each other's private business information confidential and to use it solely for the purpose of the work. This includes account details, business data, and anything reasonably understood to be sensitive.
9. Disclaimers
We work hard to deliver strong results, but we cannot guarantee specific outcomes such as a set number of leads, sales, or revenue, because those depend on many factors outside our control. Our website and services are provided on an "as is" and "as available" basis without warranties of any kind, to the fullest extent allowed by law.
10. Limitation of Liability
To the fullest extent permitted by law, Assistly Intelligence will not be liable for any indirect, incidental, or consequential damages arising from your use of our website or services. Our total liability for any claim related to the services is limited to the amount you paid us for the services giving rise to the claim in the three months before the claim arose.
11. Cancellation and Termination
Either side may end an ongoing service with written notice as described in your proposal or agreement. Fees already earned up to the cancellation date remain payable. We may suspend or end services if these Terms are breached or if required by law.
12. Governing Law
These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to conflict of law rules. Any dispute will be handled in the state or federal courts located in Massachusetts.
